Meridian Defense Systems develops mission-critical electronic warfare subsystems and signal processing technology for defense prime contractors and government agencies.

Meridian Defense Systems had built a differentiated technology platform in electronic warfare and signal intelligence, but the founders sought a strategic exit to a larger defense prime that could scale the technology across broader programs of record.

Venture Capricorn managed the full sell-side process, from preparing the Confidential Information Memorandum through buyer qualification, ITAR compliance review, and final negotiation. The competitive auction generated multiple term sheets.

The transaction resulted in a premium valuation reflecting the strategic value of Meridian’s technology portfolio and cleared all regulatory requirements including CFIUS review.
